4. Account Registration

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use

5. Service Level Agreements

Specific service levels, including uptime guarantees, response times, and support availability, are defined in individual service agreements. In the event of a conflict between these Terms and a service agreement, the service agreement shall prevail.

6. Payment Terms

Payment terms for our Services are as follows:

• Fees are billed monthly in advance unless otherwise specified
• Payment is due within 30 days of invoice date
• Late payments may be subject to interest charges
• We reserve the right to suspend Services for non-payment
• All fees are non-refundable unless otherwise stated

7. HIPAA Business Associate Agreement

For clients who are Covered Entities under HIPAA, our Services are governed by a separate Business Associate Agreement (BAA). The BAA outlines our obligations regarding the protection of Protected Health Information (PHI) and supersedes any conflicting terms in these Terms.

8. Intellectual Property

All content, trademarks, and intellectual property associated with our Services are owned by or licensed to MediSYS IT. You are granted a limited, non-exclusive license to access and use our Services for their intended purpose. You may not:

• Copy, modify, or distribute our content without permission
• Reverse engineer any software or systems
• Use our trademarks without written consent
• Remove or alter any proprietary notices

9. Data Protection and Security

We implement appropriate technical and organizational measures to protect your data. However, you acknowledge that:

• No system is completely secure
• You are responsible for your own security practices
• You must comply with all applicable data protection laws
• You must promptly report any security incidents to us

10. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe on the rights of others

11. Limitation of Liability

Our total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless MediSYS IT and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any applicable laws
• Your infringement of any third-party rights

13. Term and Termination

These Terms remain in effect until terminated. We may terminate or suspend your access to our Services at any time for any reason, including breach of these Terms. Upon termination:

• Your right to use our Services immediately ceases
• We may delete your data in accordance with our data retention policies
• Any outstanding fees become immediately due
• Provisions that should survive termination shall remain in effect

14. Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Miami-Dade County, Florida.

16. Dispute Resolution

Any dispute arising from these Terms shall first be submitted to good-faith mediation. If mediation is unsuccessful, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

18. Entire Agreement

These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and MediSYS IT regarding our Services.
